Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Vantaro website, platform, and managed advertising services (collectively, the "Service") operated by Vantaro ("Vantaro," "we," "us," or "our"). By creating an account, subscribing to a plan, or otherwise using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of a business, you represent that you have authority to bind that entity to these Terms. If you do not agree, you may not access or use the Service.

Vantaro provides an all-in-one AI-powered CRM, automation platform, and managed Facebook & Instagram advertising services for local businesses. The Service includes features such as website building, appointment scheduling, AI virtual receptionist, AI chat and voice agents, missed call text-back, review automation, unified inbox, email & SMS marketing, and managed ad campaigns.

We offer four subscription plans — Starter, Professional, Premium, and Platinum — each with different features and service levels as described on our Pricing page. We reserve the right to modify, suspend, or discontinue any feature or the Service itself, with reasonable notice where practicable.

To use the Service, you must create an account and provide accurate, current information. You are responsible for safeguarding your account credentials and for all activity under your account.

Subscription & billing:

• Plans are billed monthly or annually in advance through Stripe. Annual plans include a discount equivalent to two free months.
• Monthly subscriptions are month-to-month and may be cancelled anytime. Cancellation takes effect at the end of the current billing period.
• The Starter and Professional plans do not include AI features and carry no AI charges. Premium includes a generous monthly AI usage allowance; Platinum includes unlimited AI usage.
• Ad management fees cover our team's work only. Ad spend is billed directly to you by Meta (Facebook/Instagram); we never mark up or absorb your ad budget.
• Setup and onboarding fees (normally $499) are currently waived as part of a limited-time promotion. This may change at any time.
• All fees are non-refundable except where required by law. We do not provide refunds or credits for partial billing periods.

We may change our fees upon reasonable notice. Fee changes take effect at the start of your next billing cycle following notice.

We may offer a 14-day free trial of certain plans. Trial eligibility, features, and duration are determined at our discretion and may vary. To prevent unintended charges, you should cancel before the trial ends if you do not wish to continue. Unless cancelled, your trial will convert to a paid subscription at the end of the trial period.

You agree not to:

• Use the Service for any unlawful, fraudulent, or abusive purpose;
• Send unsolicited spam, marketing, or communications in violation of applicable laws (including CAN-SPAM, TCPA, and GDPR);
• Upload viruses, malware, or any malicious code;
• Attempt to access, reverse engineer, or disrupt our systems, infrastructure, or APIs;
• Use the AI features to generate deceptive, defamatory, or harmful content, or to impersonate others without consent;
• Resell, sublicense, or white-label the Service without our written permission;
• Use the Service in a manner that could damage, disable, or impair the Service for other users.

You are solely responsible for all content you send, store, or process through the Service, and for ensuring you have all necessary rights and consents (including from your customers) to do so.

The Service includes SMS, email, and messaging automation features. You are responsible for complying with all applicable telecommunications and marketing laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and carrier guidelines. You must obtain proper consent before sending communications and honor opt-out requests promptly.

Vantaro is not liable for violations of messaging regulations resulting from your use of the Service. Message and data rates may apply to your recipients.

Premium and Platinum plans include managed Facebook & Instagram ad services. The following terms apply specifically to these services:

• Ad management fees cover our team's work — content posting, performance monitoring, optimization, and lead response — only.
• Ad spend is billed directly to you by Meta. We never mark up, absorb, or control your ad budget. You are responsible for funding your ad account.
• Platinum includes up to 5 active campaigns; additional campaigns beyond 5 are billed at +$97/month each.
• We do not guarantee specific advertising results, ROI, or lead volume. Advertising outcomes depend on numerous factors outside our control, including market conditions, ad creative, and Meta's platform algorithms.
• You must comply with Meta's Advertising Policies and provide accurate information about your products and services.

The Service, including its software, design, text, graphics, logos, and features, is the property of Vantaro and is protected by international intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

You retain all rights to the content, data, leads, and customer information you upload or collect through the Service. By using the Service, you grant Vantaro a limited license to process your content solely as necessary to provide and improve the Service.

You own all leads, contacts, conversations, and customer data you collect through Vantaro. We act as a data processor on your behalf, processing data only to deliver the Service. You may export or delete your data at any time. Upon account termination, we will retain your data for a limited period to allow export, after which it will be permanently deleted. The Service integrates with third-party platforms including Meta (Facebook/Instagram), Google, WhatsApp, and Stripe. Your use of these integrations is subject to their respective terms and policies. Vantaro is not responsible for the availability, accuracy, or actions of third-party services.

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control. We are not liable for downtime, data loss, or service interruptions except as required by law.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be error-free, secure, or produce specific results. AI-generated responses may occasionally be inaccurate; you should review critical communications before relying on them.

To the maximum extent permitted by law, Vantaro and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business, arising from your use of or inability to use the Service.

Our total aggregate liability for any claim arising from the Service shall not exceed the amount you paid us in the three (3) months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Vantaro and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your misuse of the Service, violation of these Terms, violation of applicable laws or third-party rights, or any content you submit or process through the Service.

You may cancel your subscription at any time. We may suspend or terminate your access to the Service if you violate these Terms, fail to pay fees, or engage in conduct harmful to the Service or other users. Upon termination, your right to use the Service ends immediately. Sections relating to intellectual property, liability, indemnification, and governing law survive termination.

These Terms are governed by the laws of the United States and the state in which Vantaro is incorporated, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall first be attempted through good-faith negotiation. If unresolved, disputes shall be resolved through binding arbitration rather than in court, except where prohibited by law.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
